1. Agreement to Terms
By accessing or using the services provided by codingplan.ai ("Service" or "Platform"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.
2. Use License and Intellectual Property
Subject to your compliance with these Terms and your payment of any applicable fees, codingplan.ai grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal and commercial use of the Service. You retain all intellectual property rights in the code, text, or other materials you submit to the Service. Any code generated by the Service in response to your input is assigned to you, subject to the rights of the underlying models and open-source licenses.
3. Disclaimers and Limitations of Liability
The Service and generated code are provided "AS IS" without any warranties of any kind. codingplan.ai does not guarantee that the generated code is free of errors, secure, or fit for any specific purpose. IN NO EVENT SHALL CODINGPLAN.AI BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, REVENUE, OR PROFIT.
4. Indemnification
You agree to defend, indemnify, and hold harmless codingplan.ai and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.
5. Dispute Resolution & Arbitration
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. BY AGREEING TO THESE TERMS, YOU DEMISE YOUR RIGHT TO GO TO COURT AND TO HAVE A JUDGE OR JURY DECIDE YOUR CASE, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions.
7. International Server Locations
While our organization operates out of South Carolina, our servers and infrastructure may be located anywhere globally to provide optimal performance, including but not limited to server locations spanning from Virginia to Singapore. By using our Service, you consent to your requests being processed across international borders.
8. Modification of Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this site. Your continued use of the Service after such modifications constitutes your acknowledgment and agreement to the modified Terms.
